Nissan removed Carlos Ghosn as chairman

The decision was taken this Thursday. The board of directors of nissan voted in favor of the removal of Carlos Ghosn from the positions of chairman and representative director of the brand, despite the fact that Renault had asked that the decision be postponed. In addition to Carlos Ghosn, Greg Kelly was also removed from the position of Representative Director.

Nissan's board of directors issued a statement in which it said the decision was the result of an internal investigation, saying that "the company will continue to investigate this matter and consider ways to improve the company's governance." Nissan also added that the decision was unanimous and has immediate effect.

Despite ignoring Renault's request not to dismiss Carlos Ghosn from his duties, Nissan issued another statement which states that “the board of directors (…) assures that the long-standing partnership with Renault remains unchanged and that the objective it is to minimize the impact and confusion that the subject has on daily cooperation”.

Despite this removal, Carlos Ghosn and Greg Kelly must, for the time being, maintain the positions of directors, as the decision to remove them from that position has to pass through the shareholders. Renault, on the other hand, despite having named Thierry Bolore as interim CEO, kept Carlos Ghosn as chairman and CEO.

At Thursday's meeting, Nissan's board of directors did not name new representative directors (who function as the company's legal representatives). It is also expected that, at the next shareholders' meeting, the brand's board of directors will propose the removal of Ghosn from the functions of director.

And even if Renault wanted to vote against (it owns 43.4% of Nissan) this measure, due to a clause in the agreement signed between the two brands, forces Renault to vote according to the decision taken by Nissan in situations that entail the removal of a member of the board.
